About The Role We are seeking a highly skilled Securities Law Attorney to join our dynamic legal team. In this role, you will advise clients on federal and state securities law compliance, prepare and file critical disclosures such as registration statements and periodic reports, and handle complex transactions including private placements, public offerings, reverse mergers, and PIPE transactions. You will guide clients through uplisting and exchange compliance processes, coordinate shareholder meetings, respond to SEC comment letters, and manage investigations by SEC and FINRA. Additionally, you will oversee Regulation D, S, and A offerings, ensuring all disclosures are accurate and compliant. Your expertise will also support our corporate department on M&A and related transactions, playing a vital role in our clients’ capital markets activities.

Qualifications

  • Juris Doctor (J.D.) from an accredited law school
  • Licensed to practice law in Florida
  • Minimum of 4 years of experience focused on securities law
  • Proven expertise in advising on 1934 Act reporting and 1933 Act registered and exempt offerings
  • Experience with SEC reporting, compliance, reverse mergers, venture capital, and private equity financings
  • Ability to independently manage filings, reports, and transaction execution
  • Excellent analytical, communication, and client management skills

Responsibilities

  • Advise clients on federal and state securities law compliance, including SEC regulations and reporting requirements
  • Prepare, review, and file registration statements, 10-Ks, 10-Qs, 8-Ks, proxy statements, and other disclosures
  • Handle private placements, public offerings, reverse mergers, and PIPE transactions from inception to completion
  • Assist clients with uplisting to national exchanges such as NASDAQ and NYSE, ensuring exchange compliance
  • Provide counsel to issuers, underwriters, and investors involved in capital markets transactions
  • Coordinate and facilitate shareholder meetings, including proxy matters and voting procedures
  • Respond to SEC comment letters, manage SEC and FINRA investigations, and ensure regulatory compliance
  • Oversee offerings under Regulation D, S, and A and prepare related disclosure documentation
  • Collaborate with the Corporate department on mergers, acquisitions, and other transactional matters
